Showboat Ltd (“Showboat”, “we”, “us”, “our”)
These Terms & Conditions (“Terms”) govern your access to and use of the Showboat platform, including our website, mobile applications, marketplace, affiliate links, direct sales, and any related services (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms.
If you do not agree to these Terms, please do not use the Services.
1. Overview of Our Role
Showboat operates in three capacities:
- Marketplace Provider:
We provide a platform that enables independent sellers to list, display, and sell products directly to buyers.
In these cases, Showboat is not the seller, does not take possession of goods, and does not manage fulfilment. - Affiliate Platform:
We may link users to third-party retailers. Purchases made through these links are completed externally, and Showboat is not a party to those transactions. - Direct Seller (Showboat Store):
From time to time, Showboat may offer products for sale directly. For those orders only, Showboat is the merchant of record.
Your rights and obligations vary depending on the type of transaction, as outlined in these Terms.
2. User Eligibility
To use the Services, you must:
- Be at least 16 years old;
- Have the legal capacity to enter into binding agreements;
- Provide accurate information and comply with all applicable laws.
We may suspend or terminate your account if we reasonably believe you have violated these Terms.
3. Marketplace Transactions
When purchasing from independent sellers on Showboat:
- The contract is between you and the seller, not Showboat.
- Sellers are responsible for product accuracy, pricing, shipping, returns, and customer service.
- Showboat does not guarantee the availability, condition, authenticity, or quality of products listed by sellers.
- Showboat may mediate disputes at our discretion but is not obligated to do so.
Buyers and sellers are solely responsible for their interactions and transactions.
4. Affiliate Transactions
For purchases made through external retailers:
- Showboat provides links or product information as a convenience only.
- All transactions occur directly with the third-party retailer.
- Showboat is not responsible for orders, shipping, returns, fulfilment, or customer support.
- Retailers may have their own terms, and you are responsible for reviewing them before purchasing.
Showboat may receive commission or referral fees from these retailers.
5. Direct Sales by Showboat
For items sold directly by Showboat:
- Showboat is the seller and merchant of record.
- Product descriptions, pricing, shipping information, and return rights will be clearly displayed at checkout.
- Consumers purchasing from the Showboat Store retain all rights afforded under UK consumer law.
6. Shipping & Fulfilment
Shipping responsibilities vary by transaction type:
- Marketplace: Sellers handle all fulfillment and shipping. Showboat is not responsible for delays, damage, loss, or tracking accuracy.
- Affiliate: Shipping is managed entirely by the third-party retailer.
- Direct Store: Showboat will handle shipping according to the policy displayed at checkout.
Risk of loss transfers based on the shipping terms of the relevant seller or retailer.
7. Returns, Refunds & Cancellations
Return and refund policies vary:
- Marketplace: Returns and refunds are governed by the seller’s individual policies.
- Affiliate: Returns must be handled directly with the third-party retailer.
- Direct Store: Showboat’s own returns policy applies; consumers maintain statutory rights.
Showboat does not issue refunds for marketplace or affiliate transactions unless explicitly stated.
8. Accuracy of Listings
Sellers are responsible for product descriptions, images, authenticity, and condition reporting.
Showboat does not independently verify listings unless explicitly stated and makes no guarantees regarding accuracy or completeness.
We may remove listings that violate our guidelines at our discretion.
9. User Conduct
Users agree not to:
- Misrepresent items or engage in fraudulent behaviour;
- Violate intellectual property rights;
- Attempt to circumvent the platform or conduct off-platform transactions;
- Use the Services for unlawful or harmful activities.
Violation may result in suspension or termination of your account.
10. Fees
Showboat may charge sellers listing fees, commission fees, or service fees. Any applicable fees will be communicated clearly before charges occur.
Affiliate referrals never increase the price a user pays through third-party retailers.
11. Intellectual Property
All Showboat branding, logos, content, and technology are the property of Showboat Ltd.
Users may not reproduce, modify, or distribute Showboat content without express written permission.
12. Disclaimers
To the fullest extent permitted by law:
- Showboat provides the Services “as is” and “as available.”
- We make no guarantees regarding product availability, authenticity, seller behaviour, or transaction outcomes.
- We are not liable for losses arising from marketplace or affiliate transactions.
Nothing in these Terms limits your statutory rights as a consumer.
13. Limitation of Liability
Showboat is not liable for:
- Marketplace disputes between buyers and sellers;
- Affiliate purchases made via third-party retailers;
- Loss of data, business, profits, or any indirect or consequential damages.
For direct sales, liability is limited to the amount paid for the item.
14. Account Suspension & Termination
We may suspend or terminate accounts that violate these Terms, pose risk, or engage in fraudulent activity.
Users may close their account at any time by contacting Showboat Support.
15. Changes to These Terms
We may update these Terms from time to time. Changes become effective when posted. Continued use of the Services constitutes acceptance of updated Terms.
16. Governing Law
Any disputes will be subject to the exclusive jurisdiction of the courts of the United Kingdom.
